Job Description: Counsel
An established transactional insurance company is looking for a candidate to fill a full-time Counsel role in our New York office. The candidate will work as a member of Euclid’s Counsel team, supporting the Underwriting, Analyst, and Claims teams. Our Counsel team presently consists of 10 lawyers and paralegals engaged in the negotiation and drafting of complex agreements supporting Euclid’s core business, while interacting regularly with the company’s founders, underwriting teams, insurance brokers and outside counsel. The position provides unparalleled opportunities to learn about Mergers & Acquisitions and transactional insurance in a fast-paced but collegial environment.
Essential functions include:
· Reviewing and negotiating non-disclosure agreements, non-reliance letters, assignments and other documents with brokers and law firms;
· Drafting complex insurance policies for (i) Representations and Warranties , (ii) Contingent Liability and (iii) Tax Liability insurance coverage; and
· Supporting underwriters in the negotiation of the insurance policies throughout the deal process.
Work: Full-time. Remote start with a possible return to office late 2021.
